1. Definitions
In these Terms and Conditions, the following definitions apply: "Service" refers to the AI consulting services provided by Opticore, including but not limited to customer journey mapping, time series forecasting, and data governance framework development. "User" or "You" refers to any individual or organisation accessing our website or engaging our services. "We", "Us", or "Our" refers to Opticore, a business registered in Melaka, Malaysia. "Agreement" refers to these Terms and Conditions together with any service-specific terms agreed in writing. "Content" refers to all text, images, data, software, and other materials available on our website or delivered as part of our services.
2. Acceptance of Terms
By accessing or using our website at https://opticorens.pro, or by engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our website or services.
You must be at least 18 years of age and possess the legal capacity to enter into a binding agreement in order to use our services.
3. Service Description
Opticore provides AI consulting services to businesses in Malaysia and the wider region. Our core offerings include AI-Enabled Customer Journey Mapping, Time Series Forecasting Solutions, and AI Data Governance Framework development. The specific scope, deliverables, and timeline for each engagement are defined in individual project proposals or statements of work agreed between us and the client.
Services are generally available during our standard business hours: Monday to Friday, 9:00 AM to 6:00 PM, and Saturday, 9:00 AM to 1:00 PM (Malaysia Time, GMT+8).
4. User Responsibilities
When using our website or engaging our services, you agree to provide accurate and complete information in any forms or communications, to use our website and services only for lawful purposes, to not attempt to interfere with the proper functioning of our website, and to not reproduce, distribute, or modify any content from our website without prior written consent.
You are responsible for maintaining the confidentiality of any account credentials or project-specific access we provide to you.
5. Intellectual Property
All content on our website — including text, graphics, logos, and design — is the property of Opticore or our licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and view the content for personal or internal business evaluation purposes only.
Deliverables produced as part of a service engagement are subject to the intellectual property terms specified in the relevant project agreement. Unless otherwise stated in writing, custom models, dashboards, and reports created for your organisation during a paid engagement become your property upon full payment.
6. Payment Terms
Service fees are quoted in Malaysian Ringgit (RM) and are outlined in individual project proposals. Starting prices for our core services are listed on our Solutions page, though actual costs may vary based on project scope and complexity.
Payment terms, including deposit requirements, milestone payments, and final settlement, are specified in the project proposal. We accept payment via bank transfer. Invoices are due within the timeframe stated on each invoice, typically 14 days from the date of issue.
Refund eligibility depends on the stage of project completion and is addressed on a case-by-case basis as outlined in the relevant project agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This includes business data, technical specifications, project deliverables, and any other information designated as confidential. A separate Non-Disclosure Agreement (NDA) is executed at the start of each project engagement.
8. Disclaimers
Our website content is provided for general informational purposes. While we make reasonable efforts to ensure accuracy, we do not warrant that the information is complete, current, or error-free.
Our AI consulting services are provided on an "as is" basis. We do not make representations or warranties regarding specific business outcomes, as results depend on numerous factors including data quality, organisational readiness, and market conditions.

9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Opticore shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, business opportunities, or goodwill.
Our total aggregate liability in connection with any service engagement shall not exceed the total fees paid by you to Opticore for the specific project giving rise to the claim. This limitation does not apply to liability that cannot be excluded or limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Opticore, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or any infringement of the rights of a third party resulting from your use of our deliverables.
11. Termination
Either party may terminate a service engagement in accordance with the terms specified in the relevant project agreement. Generally, either party may terminate by providing 14 days' written notice.
Upon termination, you remain responsible for payment of all fees incurred for work completed up to the termination date. Any provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will continue to apply.
12. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under this Agreement where such failure or delay is caused by circumstances beyond the reasonable control of that party, including but not limited to natural disasters, government actions, pandemic, internet outages, or acts of third parties.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. In the event of any dispute arising from or in connection with these Terms or our services, the parties agree to first attempt resolution through good-faith negotiation.
If a dispute cannot be resolved through negotiation within 30 days, either party may refer it to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
14. General Provisions
These Terms constitute the entire agreement between you and Opticore regarding the use of our website. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent.
